1. About these terms
These terms apply to your use of this website and to all services and products provided by Deal Marketing, a trading name of [LEGAL NAME][, company number [NUMBER]], of [BUSINESS ADDRESS] ("we", "us", "our").
Our services are provided to businesses. If you buy from us as a consumer (for example, NFC cards for personal use), you also keep your statutory rights, and nothing in these terms affects them.
By using this website or accepting a proposal from us, you agree to these terms. If a signed proposal or agreement says something different, that document takes priority for the points it covers.
2. Proposals and starting work
- We'll send you a proposal or quote describing the work, the price and any timescales. Quotes are valid for [30] days.
- Our agreement starts when you accept the proposal in writing (email counts) or pay our first invoice.
- Work outside the agreed scope is extra. We'll always agree the price with you before doing it.
3. Our services
- We provide our services with reasonable skill and care, and in line with the guidelines of the platforms we work on, such as Google and Meta.
- SEO and social media: search rankings, reach and sales depend on third parties such as Google and social platforms, who change their systems without notice. We cannot guarantee specific rankings, traffic, followers or revenue, but we'll always report honestly on results.
- We may use trusted subcontractors to help deliver work. We remain responsible for their work.
4. Your responsibilities
- Give us accurate information, timely access and approvals when we need them. Delays on your side may delay delivery.
- Make sure you have the rights to any content you send us, such as photos, logos and text, and that it's lawful.
- Keep your own passwords and accounts secure, and tell us promptly about any issue.
5. Fees and payment
- Current monthly plans: SEO £250 per month; SEO + Social Media £395 per month. Other prices are as stated in your proposal. [All prices are exclusive of VAT, which will be added where applicable. / We are not currently VAT registered.]
- Monthly plans are invoiced each month in advance, with no long-term commitment (see section 6). One-off projects require a [50]% deposit before work starts, with the balance due before launch or handover.
- Invoices are payable within [14] days. We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, and we may pause work on overdue accounts after giving you notice.
- Third-party costs, such as domains, hosting, paid software, advertising spend and printing, are extra unless included in your proposal.
6. No fixed contract: stopping at any time
- There is no fixed-term contract and no minimum term. Our monthly plans work on a gentleman's agreement: you pay month by month, and you can stop at any time.
- To stop, just tell us by email, phone or WhatsApp before your next monthly invoice. Fees for a month that has already started are not refundable.
- SEO results usually start to show after 2–3 months of work, so we recommend giving a plan at least that long. This is a recommendation, not a requirement.
- If a one-off project (such as a website build) is stopped part-way through, you pay for the work completed up to that point.
- Either of us may stop working together straight away if the other seriously breaches these terms, or becomes insolvent.
7. Websites and hosting
- Timescales are estimates and depend on receiving your content and approvals on time.
- We'll fix any bugs reported within [30] days of launch free of charge. After that, changes are covered by a maintenance plan or charged separately.
- Our websites include the security measures described on our Web Design page. We take reasonable, up-to-date steps to protect your website, but no system can be guaranteed completely secure, and we are not liable for attacks we could not reasonably have prevented.
- Hosting and maintenance plans include software updates, backups and monitoring as described in your proposal.
8. AI automations
- Automations rely on third-party tools such as n8n, Zapier, Google and Meta. If these change or become unavailable, updates may be needed. These are covered by a support plan or quoted separately.
- You are responsible for making sure your use of automations, including any customer data they process, is lawful. Where we process personal data on your behalf, the data processing terms in section 12 apply.
9. NFC cards
- NFC cards cost £20 each unless otherwise agreed, including design and set-up.
- We'll send a design proof for your approval before production. Please check it carefully, because we're not responsible for errors in an approved proof.
- Cards work with most modern smartphones, and each card includes a QR code backup. We cannot guarantee compatibility with every device.
- If a card is faulty, tell us within [30] days of delivery and we'll replace it free of charge. Because cards are personalised, they cannot otherwise be returned. For consumers, personalised goods are exempt from the 14-day cancellation right under the Consumer Contracts Regulations 2013.
- Where a card links to a page we host, [we'll keep that page live while you're a client, and for [12] months after an NFC-only purchase / explain your arrangement].
10. Ownership of work
- Once you've paid in full, you own the final deliverables we create specifically for you, such as your website design, written content and graphics.
- We keep ownership of our pre-existing tools, code, templates and methods, and give you a permanent licence to use them as part of your deliverables.
- You own your domain, Google Business Profile, website and social media accounts. When our work ends, we'll hand over or remove our access as agreed.
- We may show work we've done for you, and your business name, in our portfolio and marketing, unless you ask us not to.
11. Confidentiality
We'll both keep the other's confidential information private and only use it to carry out our agreement, unless the law requires otherwise.
12. Data protection
We both comply with UK GDPR and the Data Protection Act 2018 (and EU GDPR where it applies). Our Privacy Policy explains how we handle personal data as a controller. Where we process personal data on your behalf, for example in automations or website forms, we act as your processor and our data processing agreement applies, meeting the requirements of Article 28 of UK GDPR.
13. Our liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.
- We are not liable for indirect or consequential losses, or for loss of profit, revenue, data or goodwill.
- We are not responsible for actions by third-party platforms, such as search algorithm updates, account suspensions or policy changes, that are outside our control.
- Our total liability under any agreement is limited to the fees you paid us in the 12 months before the claim.
14. Events outside our control
Neither of us is responsible for delays or failures caused by events outside our reasonable control, such as major outages, natural disasters or illness. We'll let you know as soon as possible and do our best to minimise any disruption.
15. Using this website
- The content on this website is for general information and may change without notice.
- You must not misuse the website, for example by trying to gain unauthorised access, introducing malicious code or sending spam through our forms.
- Links to other websites are provided for convenience. We're not responsible for their content.
16. General
- We may update these terms from time to time. The version on this page applies to new agreements from the date shown at the top.
- If any part of these terms is found to be unenforceable, the rest still applies.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
